Terms of Service

1. Acceptance of Terms

By accessing and using WizardRFP ("Service"), operated by Embargo Industries ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

These Terms of Service apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

WizardRFP is an AI-powered Request for Proposal (RFP) generation platform that provides:

• AI-assisted proposal content generation
• Document management and storage
• Real-time collaboration features
• Integration with third-party document providers (Google Drive, Microsoft 365, Notion)
• Export capabilities to PDF and Word formats
• Template library and asset management
• Validation and compliance checking

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. When you register for an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches
• Take responsibility for all activities that occur under your account

4. Subscription and Payment Terms

• Subscriptions are billed monthly in advance
• 14-day free trial available for new users
• Payment is processed through Stripe
• Prices are subject to change with 30 days notice
• No refunds for partial months
• Automatic renewal unless cancelled before the billing cycle
• Additional projects may be purchased at prevailing rates

5. User Responsibilities and Acceptable Use

You agree not to:

• Violate any laws, regulations, or third-party rights
• Use the Service for any unlawful or fraudulent purpose
• Upload or transmit viruses or malicious code
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Circumvent any content filtering or security measures
• Share your account credentials with unauthorized users
• Use automated systems or software to extract data from the Service

6. Intellectual Property Rights

Your Content: You retain all rights to the content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing the Service.

AI-Generated Content: Content generated by our AI features is provided for your use within the Service. You may use AI-generated content in your proposals and business documents.

Our Property: The Service, including its original content, features, and functionality, is owned by Embargo Industries and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

We implement industry-standard security measures to protect your data, including encryption at rest and in transit, secure authentication, and regular security audits.

8. Service Availability and Support

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• Email support is included with all subscriptions
• Priority support available for enterprise customers
• We reserve the right to modify or discontinue features with notice

You agree to defend, indemnify, and hold harmless Embargo Industries and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will cease immediately. You may download your data for 30 days after termination.

12. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Miscellaneous

• These Terms constitute the entire agreement between us regarding our Service
• If any provision of these Terms is held to be invalid, the remaining provisions will continue in full force
• No waiver of any term shall be deemed a further or continuing waiver
• You may not assign or transfer these Terms without our prior written consent
